We are delighted to have advised City & Guilds on their sale of Sitepass to INX Software.

City & Guilds is a global leader in technical and vocational training, and supports students worldwide in achieving their potential across a range of disciplines.

Following a strategic review, Sitepass, a predominantly Australian focused provider of contractor management software was deemed to be non-core to the business and we were engaged to find the best home possible for the talented Sitepass team, as well as maximise value for the wider City & Guilds Group.

We provided a joined up approach to enable the initial separation of Sitepass from the wider group, including building the key separation assumptions and target operating model for the business.

In parallel to the separation planning, we ran a full dual track process, utilising our extensive sector contacts and international network to access a wide universe of strategic trade buyers, private equity backed trade and standalone private equity.

In addition, our substantial sector knowledge allowed us to best position the business towards its key value drivers, understand the key bidders strategic rationale and manage conversations and negotiations.

This resulted in delivering the best possible strategic partner for Sitepass with the targeted timeframe.
