We are delighted to have advised Elogbooks on their sale to Marlowe plc.

Elogbooks Facilities Management (EFM) is a cloud-based facilities management software supported by an integrated 24/7 helpdesk.  

Elogbooks Facilities Services (EFS) connects people who need maintenance and fabric services with trusted providers. 

4D Monitoring is an end-to-end building monitoring solution that gives an easy universal window into the tenant environment and operation of the energy-consuming plant. 

Having negotiated with Marlowe on behalf of our client on the heads of term we were pivotal in setting the transaction structure, financial modelling, and involved in drafting the SPA to completion. 

Our extensive sector expertise in the industry and relationships with Marlowe meant we were able to well position the business. Adding value to the process by understanding the key drivers of value, and managing conversations and negotiations. 

Our experience in deal structuring allowed us to work effectively with a range of stakeholders, driving a complex transaction. The transaction included different shareholders across the three businesses with varying expectations which resulted in a range of mechanisms used to structure the deal including rollover, earn-outs and call option.  

Navigating the process and keeping momentum during the lockdown and pandemic was particularly challenging but done successfully. Delivering strategic value and a long-term partner for the business all within the targeted timeframe.
